Welcome to Godzilla MKTG and Godzilla AI ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the services, products, platforms, and websites provided by us, including but not limited to www.godzillamktg.com and www.godzilla-ai.com (collectively, the "Sites"). By using our Sites and engaging our services, you agree to comply with and be legally bound by these Terms. If you do not agree, you may not use our services.

1. Eligibility

You must be at least 18 years of age, or the age of majority in your jurisdiction, to use our services. By agreeing to these Terms, you represent and warrant that you meet this eligibility requirement and that the information you provide to us is accurate and complete.

2. Account Registration & Security

To access certain features, you may be required to create an account and provide personal or business information.

You agree to:
- Maintain the confidentiality of your login credentials
- Notify us immediately of any unauthorized use
- Accept responsibility for all activities that occur under your account

We reserve the right to terminate accounts that are found to be fraudulent, abusive, or non-compliant with these Terms.

3. Description of Services

Godzilla MKTG is a marketing and automation agency offering:
-Brand development

-Web design and development

-Paid advertising campaign setup and management

-Funnel building and optimization

-Email marketing and CRM setup

-Consulting services and performance-based marketing strategies


Godzilla AI is a SaaS platform offering:

-AI-powered digital employees for automated lead engagement, sales conversations, and client nurturing

-Custom AI setup, integration with CRM tools, and training

-Subscription-based access with monthly and annual billing options

-All services are prepaid unless otherwise agreed upon in a separate written agreement.

-We use Stripe as our secure payment processor. All payment information is handled per Stripe’s security policies.

-Subscriptions renew automatically unless cancelled before the renewal date.

-Project-based or performance contracts require a deposit (typically 50%) to initiate work. Remaining balances are due upon delivery or as otherwise scheduled.

-Late payments are subject to a 5% fee for every 10 days overdue. Persistent nonpayment may result in account suspension or collections.

5. Refund Policy & Guarantees

Godzilla MKTG:

-Due to the nature of custom digital marketing services, all payments are non-refundable once work has commenced.

-If dissatisfaction occurs, we will work to resolve the issue within the defined scope of work.

Godzilla AI:

-Annual plans include a 30-day money-back guarantee.

-Monthly subscriptions are non-refundable but may be cancelled anytime before the next billing cycle.

-No refunds will be issued for unused time, partial usage, or early termination after the 30-day period.

We do not guarantee specific revenue, conversion rates, or sales outcomes due to the variable nature of marketing and AI performance.

6. Project Timelines & Deliverables

-Timelines are provided as estimates and may vary based on client responsiveness and changes in scope.

-Revisions beyond the agreed number may incur additional charges.

-Client must provide required assets (logos, domain access, logins, content, etc.) on time to avoid delays.

7. Client Responsibilities

You agree to:

-Provide accurate and timely information for projects

-Cooperate with our team in a professional and responsive manner

-Ensure compliance with applicable laws (e.g., CAN-SPAM, GDPR, FTC regulations)

We are not responsible for performance issues caused by lack of access, incomplete information, or delays in communication.

8. Intellectual Property

-All original work created by Godzilla MKTG remains our intellectual property until full payment is received.

-Upon payment, a commercial license is granted for use of the deliverables.

-For SaaS (Godzilla AI), all proprietary code, configurations, and algorithms remain the property of the Company. You are granted a non-exclusive, non-transferable license to use the software.

You may not reproduce, redistribute, or resell our services or content without express written permission.


9. Confidentiality

Both parties agree to treat all confidential information shared during the course of the engagement with the highest level of care. This includes, but is not limited to:

-Business strategies

-Trade secrets
-Proprietary tools or systems

This obligation remains in effect indefinitely, even after termination.


10. Limitations of Liability

To the fullest extent permitted by law:

-We will not be liable for indirect, incidental, punitive, or consequential damages

-Our total liability shall not exceed the total fees paid by you in the 90 days preceding the claim

-Godzilla AI is provided “as-is” without warranty of uptime, compatibility, or specific results


11. Termination & Suspension

-Either party may terminate services with 14 days' written notice.

-Immediate termination may occur if either party engages in illegal or unethical behavior.

-Upon termination, you remain responsible for payment for all services rendered up to the termination date.

-For SaaS users, failure to pay may result in immediate suspension or deletion of your account and data.


12. Dispute Resolution

-These Terms are governed by the laws of the State of Arizona.

-Any disputes shall be resolved by binding arbitration in Maricopa County, Arizona.

-You waive your right to participate in class-action lawsuits, and all claims must be brought on an individual basis.


13. Godzilla AI SaaS-Specific Terms

-You are responsible for ensuring the AI is configured properly and used ethically.

-We are not liable for misuse or miscommunication resulting from improper AI configurations.

-You must comply with all applicable privacy laws when using AI to communicate with leads, customers, or clients.

-Uptime is estimated at 99.9% but not guaranteed. Scheduled maintenance or technical issues may occasionally impact availability.

-We offer support via email and live chat during business hours for all active subscribers.


14. Amendments

We reserve the right to modify these Terms at any time. All updates will be posted on our websites. Continued use of our services after such updates signifies your agreement to the revised terms.
